General Terms and Conditions of Sale

Article 1 - Purpose and scope

These General Terms and Conditions of Sale (GTCS) govern the business relationship between INARIS SAS and its professional customers (hereinafter "the Customer").

Any order implies unreserved acceptance of these GTCS, which prevail over any other document of the Customer, in particular its general terms of purchase.

Article 2 - Products

The products offered for sale are natural chews and treats for animals. Product photographs and descriptions are given for information only and are not contractually binding.

As these are natural products, variations in size, shape or colour may occur and do not constitute a defect.

Article 3 - Prices

Prices are stated in euros excluding VAT. The applicable VAT is the rate in force on the invoice date.

INARIS reserves the right to change its prices at any time. Products are invoiced at the price in force when the order is confirmed.

Article 4 - Orders

Orders may be placed through the online customer area, by email or by phone. Any order is firm and final once confirmed.

A minimum order amount may be required. This amount is communicated when the customer account is opened.

Article 5 - Payment

Payment terms are set when the customer account is opened:

• Payment in full with the order
• Payment at 30 days end of month (subject to approval)

In the event of late payment, late payment penalties will be charged at three times the French statutory interest rate, together with a fixed recovery fee of €40.

Article 6 - Delivery

Delivery times are given for information only. INARIS endeavours to ship orders within 24 to 48 working hours.

Shipping costs are calculated according to weight and delivery location. Delivery is free above a certain order amount, communicated when the account is opened.

Risk passes to the Customer when the products are handed over to the carrier.

Article 7 - Claims and returns

Any claim concerning the products delivered must be made in writing within 48 hours of receipt.

In the event of proven non-conformity, INARIS will replace or refund the products concerned.

Article 8 - Retention of title

INARIS retains ownership of the products sold until full payment of the price, including principal and ancillary costs. Failure to pay may lead to the goods being reclaimed.

Article 9 - Force majeure

INARIS cannot be held liable for failing to perform its obligations in the event of force majeure, in particular natural disaster, war, strike, shortage of raw materials or any other event beyond its control.

Article 10 - Governing law and disputes

These GTCS are governed by French law. In the event of a dispute, the parties will seek an amicable solution. Failing that, the commercial courts of Amiens shall have sole jurisdiction.
